END USER LICENSE AGREEMENT IMPORTANT - READ CAREFULLY This End-User License Agreement ('EULA') is a legal agreement between you (either an individual or a single entity) and VoIP Integration, Inc., a California corporation ('VoIP Integration'), for the Phone Remote Software Utility identified above, which includes computer software and may include online or electronic documentation ('Phone Remote Software'). By installing, copying, or otherwise using the Phone Remote Software, you agree to be bound by the terms of this EULA. Copyright laws and international copyright treaties, as well as other intellectual property laws and treaties protect the Phone Remote Software. The Phone Remote Software is licensed, not sold. GRANT OF LICENSE This EULA grants to you the following rights: USE AND COPY A fully-paid, personal, nontransferable and nonexclusive license to use the Phone Remote Software solely for your own internal personal or business purposes and solely in conjunction with the Designated CPU (as defined below). Phone Remote version 3.0 and above require the activation of the license file and associated CPU to be recorded with VoIP Integration. In order to use the same license file on another CPU the de-activation of the license file must be recorded with VoIP Integration in a form specified below. A 'Designated CPU' means that single central processing unit ('CPU') that is registered by you with VoIP Integration as that single CPU on which your licensed copy of the Phone Remote Software operates. You may, from time to time, by subsequent activation with VoIP Integration, change the identity of the Designated CPU, with such subsequent activation being in a form specified by VoIP Integration as online, email of via telephone. A single back-up CPU may be used as a substitute for a designated CPU by providing notice to VoIP Integration during any time when such Designated CPU is inoperative because it is malfunctioning or undergoing repair, maintenance or other modification, with such notice being in a form specified by VoIP Integration. You may make a single copy of the Software for internal backup and archival purposes only. RESTRICTIONS You may not transfer, sub-license, rent or lease copies of the Phone Remote Software to third parties without express written consent of VoIP Integration. You may not reverse engineer, decompile, or disassemble the Phone Remote Software, except and only to the extent that such activity is expressly permitted by applicable law, notwithstanding this limitation. You may not transfer your rights under this EULA to any third party. You must comply with all applicable laws regarding the use of the Phone Remote Software. TERMINATION VoIP Integration may terminate this EULA if you fail to comply with the terms and conditions of this EULA. In such event, you must destroy all copies of the Phone Remote Software including any registration key and ID information. COPYRIGHT All title and copyrights and intellectual property rights in and to the Phone Remote Software and any copies thereof are owned by VoIP Integration. Except as specifically permitted by VoIP Integration, the Phone Remote Software may not be distributed or reproduced by any means, or in any form, without VoIP Integration�s prior express written permission. REGISTRATION KEY Any registration key or license file obtained from VoIP Integration may not be given to any third party. VoIP Integration reserves the right to terminate (de-activate) any registration key found to be provided to, or used by, any third party without the permission of VoIP Integration. You shall not be entitled to any refund or credit for any registration key so de-activated by VoIP Integration. To obtain a registration key for the Phone Remote Software, you will be required to complete a registration process by providing VoIP Integration with current, complete and accurate information as prompted by the applicable registration form. Upon completion of your registration, you will receive from VoIP Integration a registration key for the Phone Remote Software. You are solely responsible for maintaining the confidentiality of your registration key. Furthermore, you are solely responsible for any and all activities that occur with respect to your registration key, such as improperly publishing the registration key or the sharing the registration key with any third party. You agree to notify VoIP Integration immediately of any unauthorized use of your registration key. VoIP Integration shall not be liable for any loss that you may incur as a result of any third party use of your registration key, either with or without your knowledge. You are responsible for losses incurred by VoIP Integration due to any improper third party use of your registration key. NO WARRANTY ANY USE OF THE PHONE REMOTE SOFTWARE IS AT YOUR OWN RISK. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE PHONE REMOTE SOFTWARE IS BEING PROVIDED TO YOU 'AS IS,' WITHOUT WARRANTIES OR CONDITIONS OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL VOIP INTEGRATION BE LIABLE FOR ANY SPECIAL, INCIDENTAL, INDIRECT, OR CONSEQUENTIAL DAMAGES WHATSOEVER (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF BUSINESS PROFITS, BUSINESS INTERRUPTION, LOSS OF BUSINESS INFORMATION, OR ANY OTHER PECUNIARY LOSS) ARISING OUT OF THE USE OF OR INABILITY TO USE THE PHONE REMOTE SOFTWARE, EVEN IF VOIP INTEGRATION HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT WILL VOIP INTEGRATION BE LIABLE TO YOU FOR ANY AMOUNT IN EXCESS OF THE PHONE REMOTE SOFTWARE LICENSE FEE THAT YOU HAVE ACTUALLY PAID. BECAUSE SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, THE ABOVE LIMITATION MAY NOT APPLY TO YOU. MISCELLANEOUS Nothing contained in this EULA shall be construed as conferring by implication, estoppel or otherwise: (i) any license or right to use any name, trade name, trademark, service mark, symbol or any other identification or any abbreviation or contraction thereof; (ii) an obligation on VoIP Integration to furnish any person, including you, any assistance of any kind whatsoever, or any information or documentation other than the Phone Remote Software; and (iii) a grant to you to sell, lease, sub-license or otherwise transfer or dispose of the Phone Remote Software, in whole or in part. You agree that this EULA shall be governed by and comply with the laws of the State of California. In the event you violate any of the terms and conditions regarding your use of the Phone Remote Software, you agree and hereby submit to the exclusive jurisdiction and venue of the court of applicable jurisdiction in Contra Costa County, California. The Phone Remote Software is subject to United States export controls. The Phone Remote Software may not be downloaded or otherwise exported or re-exported: (i) into (or to a national resident of) Cuba, Iran, Iraq, Libya, North Korea, Sudan, Syria, Taliban controlled areas of Afghanistan, or any other country to which the United States has embargoed goods or is subject to U.S. trade sanctions covering the Phone Remote Software, to individuals or entities controlled by such countries, or to nationals or residents of such countries other than nationals who are lawfully admitted permanent residents of countries not subject to such sanctions; or (ii) to any countries found on the United States Treasury Department�s list of Specially Designated Nationals and Blocked Persons or the United States Commerce Department�s Table of Denial and Prohibition Orders. By using the Phone Remote Software, you agree to the foregoing and represent and warrant that you comply with these conditions. You are also warranting that you are not under the control of, located in, or a resident or national of any such country or on any such list. This EULA constitutes the entire agreement between you and VoIP Integration, and it supersedes all previous communications, proposals and agreements, either oral or written, between us with respect to the subject matter hereof. In the event that any provision of this EULA shall be found to be void or unenforceable, such findings shall not be construed to render any other provision either void or unenforceable, and all other provisions shall remain in full force and effect unless the provision which is invalid or unenforceable shall substantially affect the rights or obligations granted to or undertaken by either of us.
